NEWS & EVENTS CONNECTICUT STATE LAW TARGETS NON-PHYSICIAN-RUN MEDSPAS Medical spas in Connecticut that offer cosmetic medical procedures must have an acting medical director who is a state-licensed physician. Bill SB-1067, which goes into effect on October 1, 2013, was passed by the state's legislature on June 5, 2013. It states that any medical spa that offers procedures defined under the state's sales tax laws as "cosmetic medical procedures" must employ or contract with a medical director. An MD, PA, APRN or RN may perform the procedures. If a PA, APRN or RN is performing the treatment, he or she must be acting under a physician's supervision and control. In addition, the facility must post notice of the name and specialty of the medical director, and he or she must perform an initial physical assessment of the patient before the procedure is performed. Violators are subject to fines of up to $500 per day while the violation continues. CYNOSURE COMPLETES ACQUISITION OF PALOMAR Aesthetic device manufacturer Cynosure has completed its acquisition of Palomar Medical Technologies. Cynosure purchased Palomar in a cash and stock transaction valued at approximately $287 million. In the transaction, Cynosure issued approximately six million shares and paid approximately $146 million in cash contributed by both Cynosure and Palomar. The closing of the transaction follows approvals by Cynosure stockholders and Palomar stockholders at separate meetings on June 24, 2013. "Combining with Palomar brings together two world class research and development organizations creating what we believe is one of the world's premier aesthetic laser and light-based companies," said Michael Davin, Cynosure's chairman and CEO. "We believe the acquisition complements our product portfolio and customer base, provides new product and service revenues, strengthens our global distribution network, opens new cross-selling opportunities and enhances our intellectual property position. We appreciate the overwhelming support of our stockholders in recognizing the value of this transaction to our long-term growth strategy. We welcome Palomar's employees to the Cynosure team and look forward to the continued success of our unified organization." NEARLY ONE-THIRD OF CONSUMERS CONSIDERING COSMETIC PROCEDURES Nearly 30% of consumers say they are considering a cosmetic procedure with dermatologists named as the greatest influence for their decision, according to a new survey by the American Society for Dermatologic Surgery (asds.net). The ASDS Consumer Survey on Cosmetic Dermatologic Procedures asked more than 6,300 consumers in a blind online survey to share their opinions on cosmetic treatments in general and rate 10 specific procedures—ranging from botulinum toxin injections and body sculpting to laser hair removal. While 6.4% of those surveyed previously had a cosmetic treatment, nearly 30% said they are considering a procedure. According to the survey, dermatologists exhibit a greater influence on decisions to have cosmetic procedures than friends, physician referrals or 11 other choices. Respondents also said the specialty in which a physician is board certified is the most important factor when contemplating a cosmetic procedure, ranking above cost, physician referral or eight other choices. The top reasons for seeking cosmetic treatments included "to look as young as I feel for my age"; to "appear more attractive"; and "feel more confident." More than 80% of respondents indicated excess weight as the cosmetic condition that bothers them the most. Other conditions consumers are "most bothered" by include: • Lines and wrinkles around the eyes (63%) • Skin texture and/or discoloration (62%) • Sagging facial skin (61%) • Excess fat under the chin (60%) • Lines, wrinkles and/or folds in the mid-face around the cheeks and mouth (60%) The procedures that are of most interest to the consumers surveyed included ultrasound, laser, light and radiofrequency treatments for wrinkles; laser and light treatments to reduce facial redness, improve skin tone or improve scars; and body sculpting. MERZ PHARMA ACQUIRES NEOCUTIS Merz Pharma Group (merz.com) has acquired Neocutis S.A.'s privately held cosmetics, OTC and Rx skincare business. The acquisition, which closed on July 22, 2013, will be managed in North America by Merz Pharma Group's U.S. affiliate, Merz North America, which will also integrate marketing of Neocutis' line of physician-dispensed topical skin care products in the U.S. "The acquisition of Neocutis significantly strengthens Merz's presence in the U.S. aesthetics market," said Bill Humphries, president and CEO of Merz North America. "Neocutis' line of topical skincare products complements our current portfolio of aesthetic injectable products and expands our ability to provide patients and physicians with innovative, high-quality aesthetic products along the full continuum of care.
